Sendsafe Source Code Licensing and Pricing

CPrompt currently offers two distinctly different methods of purchasing the full combined SendSafe and E-Store Framework source code, one of which includes reseller licensing.

Some of the reasons companies purchase source code licenses:

• To have a greater tangible value when the business is sold
• To have the security of owning the entire software base
• To have full manufacturing and resell rights
• To have a business franchise
• To control competition through exclusive control over an industry sector

The vast majority of the e-system, including all core functions, are written in fully commented C++ (MS Visual C++ IDE). The Customer GUI and Admin GUI are written in a combination of fully commented ASP, VBScript, JavaScript, and Java. Developer and development support packages are also available.

Nonexclusive Single Enterprise license - $250,000 for full source code, documentation, and a perpetual, nonexclusive, single enterprise license. This gives you the rights to own and use the product in your business in any way you choose or to sell the license with your business.

With this license, there are strict trade secret confidentially requirements. This license does not allow reselling any part of the trade secret source code; and this is not a reseller's license, so it does not allow selling copies of the binaries.

Industry Sector Exclusive Enterprise license - $500,000 for full source code, plus royalty or revenue share, which varies based on a number of factors (see tables below). This is a perpetual enterprise license, like a business franchise license, which is 100% exclusive for a single specified industry sector such as downloadable movies or auto parts. This license's exclusivity covers future CPrompt source code sales and reseller license sales in a specific sector. This license can grant no rights over prior sold, nonexclusive, non-reseller source code licenses in this sector. This license gives you the rights to own and use the product in your business in any way you choose or to sell the license with your business. CPrompt will agree to sell no source code or reseller licenses in the specified sector. CPrompt will retain the rights to sell binary copies in the specified sector and service CPrompt's current and future clients in the sector. All rights revert back to CPrompt if the licensee company fails to pay a minimum amount of royalties per year.

With this license, there are strict trade secret confidentially requirements. This is not a source code reseller's license; this is a "binary copy only" reseller's license.

Source code escrow options - You can both protect your investment and save software costs with source code escrow. Instead of purchasing the source code, we can arrange for encryption locked copies of the SendSafe source to be sent periodically to you with the unlock keys held in escrow by our law-firm. The unlock keys would be released to you should one or more trigger events defined in our contract occur. The license terms granted through the escrow agreement are the same as the nonexclusive single enterprise source code license.

There is a $500 cost per escrow source code deposit made above and beyond one annual deposit. The deposits can be made once, monthly, yearly, or any other periodic criteria you need. We can also waive deposits and simply have a contractual stipulation that you receive the current source code if specific trigger events occur.

The annual fees for escrow agreements start at $1000 for the single trigger event of dissolution of CPrompt. Typical annual costs are $5,000 to $10,000 for multiple trigger events (contact us for details). Legal fees to setup escrow agreements vary depending upon the type of trigger events stipulated in the contract. All fees incurred by CPrompt for maintaining the escrow agreement are passed on without markup to the escrow licensee.
